1.1 These Terms and Conditions (“Terms”) govern the use of the Tokyo Taxi software-as-a-service application (“Service”) provided by Shoppias Ecommerce LLC (“Company”), operating under the brand name Taar (“Brand”). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2.1 For the purpose of these Terms:
3.1 The Company employs commercially reasonable efforts to maintain the Service’s availability; however, the Company explicitly disclaims any warranty or guarantee regarding the continuous, uninterrupted, error-free, or secure access to the Service or any related software, networks, or systems.
3.2 The Company reserves the unilateral right, at its sole discretion and without prior notification, to modify, suspend, or terminate the Service, either temporarily or permanently, for any or no reason whatsoever.
3.3 In the event that the Company determines, in its exclusive judgment, that the current business model associated with the Service is no longer economically viable, the Company retains the right to discontinue the Service without providing any advance notice to Users. Users are hereby advised to implement regular data backup protocols to mitigate potential data loss.
4.1 The Company reserves the right to terminate User accounts and delete all associated data after a period of 60 consecutive days of inactivity. While the Company may, at its discretion, issue a reminder communication via electronic mail, it is under no obligation to do so.
4.2 Users acknowledge and agree that the Company bears no responsibility for data loss resulting from account termination due to prolonged inactivity or any other reason.
5.1 By using the Service, Users grant the Company an irrevocable, worldwide, non-exclusive, royalty-free license to utilize, manipulate, and analyze any and all data generated through the use of the Service for the purposes of service enhancement, performance optimization, and security fortification.
5.2 The Company employs sophisticated algorithms to execute queries on local machine data to identify system performance metrics and potential security vulnerabilities. Users explicitly consent to such data collection and analysis as a condition of using the Service.

7.4 Users acknowledge that the Company has no control over the pricing or availability of third-party add-ons and that such add-ons may be subject to price increases or discontinuation at the sole discretion of the third-party vendor.
8.1 The Company reserves the right to modify the pricing structure of the Service, including but not limited to limiting freemium features or introducing nominal fees for previously free services, in response to increases in third-party vendor costs that impact core services.
8.2 Users agree to pay all fees associated with their use of the Service. Failure to pay fees may result in the suspension or termination of the User’s account.
9.1 To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from the use of or inability to use the Service.
9.2 Users expressly agree that the Company shall not be held responsible or liable for any business losses, including without limitation loss of profits, revenue, contracts, anticipated savings, data, goodwill, or wasted expenditure, regardless of the cause or form of action.
10.1 Users grant the Company a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, modify, adapt, reproduce, distribute, and display any Content submitted to or through the Service for the purposes of operating, promoting, and improving the Service.
10.2 The Company reserves the right to use User data, including but not limited to usage patterns, feedback, and testimonials, for marketing and promotional purposes without obtaining prior approval from Users.
11.1 The Company reserves the right to modify these Terms at any time without prior notice. Continued use of the Service following any such modifications constitutes User’s acceptance of the revised Terms.
12.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict of law provisions.
12.2 Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.
